Partner Program Terms

These Partner Program Terms apply to approved Diplotix partners. They supplement the Diplotix Terms of Service, Privacy Policy, Cookie Policy, and Refund & Cancellation Policy.

1 Introduction

The Diplotix Partner Program allows approved partners to refer potential recruiter customers to Diplotix using partner referral codes and referral links.

Anyone may apply where the application flow is available, but acceptance is not automatic. Diplotix may approve, reject, waitlist, suspend, or terminate partner access at its discretion.

Participation does not guarantee commissions, payouts, continued program availability, or any minimum earnings.

2 Eligibility

To join or remain in the Partner Program, you must:

  • Be old enough to enter a binding agreement under applicable law.
  • Have legal capacity to participate.
  • Provide accurate partner application, profile, contact, company, audience, referral, payout, tax, and verification information.
  • Have authority to act for any business or organization you submit.
  • Promote Diplotix lawfully and honestly.
  • Avoid fraud, misleading traffic, spam, fake accounts, fake companies, and payment manipulation.
  • Complete any KYC, tax, payout-method, or business verification required before a payout is approved.

Partners are responsible for their own taxes, invoices, registrations, filings, and business compliance obligations.

3 Becoming a Partner

The current product supports a partner application and review process.

The process may include:

  • Submitting a partner application.
  • Diplotix reviewing the application.
  • Approval, rejection, or waiting-list status.
  • Creation of a partner profile and partner referral code after approval.
  • Invitation or account-claim flows where required.
  • Ongoing review of partner status, referral activity, payout information, and compliance.

Diplotix may reject an application without creating a partner account. Diplotix may suspend or terminate a partner account after approval if there is fraud risk, abuse, legal risk, policy violation, inaccurate information, payment risk, KYC or tax issues, or other business risk.

Approved partners may receive a referral code and referral link. The current referral route captures valid partner codes and may set referral cookies for attribution.

Current referral attribution uses:

  • A partner referral code linked to an active partner profile.
  • A referral event when someone visits a valid partner referral link.
  • Referral cookies named diplotix_partner_referral and diplotix_partner_visitor.
  • A 90-day referral window in the current implementation.
  • Attribution when a new recruiter account or recruiter profile is connected to a valid referral during the referral window.

The current implementation is intended to use first valid referrer attribution. If a browser already has a valid partner referral cookie, a later referral link may not replace it. Attribution may fail or be unavailable if cookies are deleted, blocked, expired, overwritten by browser behavior, or if the referral cannot be verified.

Referral attribution does not give a partner ownership of a recruiter, recruiter account, recruiter workspace, customer relationship, subscription, or candidate data. It only creates possible commission eligibility if all Partner Program conditions are satisfied.

Existing recruiters are not eligible merely because they later visit a referral link. Self-referrals, duplicate referrals, invalid codes, inactive partner codes, and fraudulent attribution are not eligible.

5 Qualified Referrals

A qualified referral must satisfy all applicable requirements. A referral is not qualified merely because someone clicked a link, created an account, or appeared in a referral dashboard.

For a referral to become commission-eligible, the referred recruiter generally must:

  • Be a new recruiter to Diplotix.
  • Create a valid recruiter account or recruiter profile through a valid referral attribution path.
  • Not already be an existing recruiter before the referral was captured.
  • Not be the partner, the partner's duplicate account, or a self-referral.
  • Not be created through fraud, spam, misleading traffic, automation, account farming, or payment manipulation.
  • Subscribe to an eligible paid recruiter plan.
  • Make a successful eligible payment through a supported payment flow.
  • Not receive a refund, chargeback, payment reversal, payment dispute, invoice cancellation, or payment void that makes the payment ineligible.
  • Pass any manual review, fraud review, billing review, KYC review, or tax review required by Diplotix.

6 Commission

Approved partners may earn a commission of 25% on each eligible, verified Razorpay recruiter subscription payment made by a qualified referred recruiter, for up to the first 12 eligible commissionable subscription payments (invoices) per referred recruiter.

Current audited implementation creates partner commission records for verified eligible Razorpay payments. Stripe billing flows exist in the product, but Stripe partner commission creation should not be treated as active unless Diplotix confirms that support in writing or implements it in the product.

Commission is earned per eligible payment, not per calendar month. A payment is commissionable only if it is successfully paid, remains valid, is not refunded, is not disputed, is not charged back, is not voided, is not fraudulent, and remains eligible under the Partner Program.

Refunded, voided, disputed, charged back, unpaid, trial, fake, fraudulent, abusive, duplicate, or ineligible payments or subscriptions do not earn payable commission and do not count as commissionable payments.

Annual plans, prepaid plans, discounted plans, custom plans, manually invoiced plans, Stripe payments, and other non-standard billing arrangements are eligible only if explicitly supported by Diplotix.

No commission is guaranteed. Diplotix may change future commission rates, commission periods, eligible plans, eligible providers, eligibility rules, and program terms prospectively. No commission is owed until all eligibility requirements are satisfied and the commission is recorded or approved by Diplotix.

Commission may be calculated on the amount Diplotix records as eligible. Taxes, discounts, credits, refunds, payment reversals, chargebacks, provider fees, adjustments, or other excluded amounts may reduce or eliminate commission eligibility.

7 Commission Lifecycle

Commission records may move through several states.

PendingA referral, payment, or commission may still be awaiting verification, provider events, manual review, fraud review, or payout review.
EarnedDiplotix has recorded an eligible verified payment and an eligible commission record. Earned status does not always mean the payout has been completed.
VoidedA commission has been made invalid because of refund, chargeback, dispute, voided invoice, invalid attribution, fraud, abuse, or another disqualifying event.
CancelledAn unpaid payout item or payout batch item may be cancelled because the underlying commission is voided, ineligible, or no longer payable.
PaidA payout item has been marked paid through the payout process. Paid records may still be reviewed if later refund, chargeback, fraud, or recovery issues arise.

Examples:

  • If a recruiter has an eligible, verified Razorpay subscription payment, a commission may be recorded as earned.
  • If a recruiter remains eligible and continues making eligible commissionable subscription payments, additional commissions may be recorded for up to the first 12 eligible commissionable subscription payments (invoices) for that qualified referred recruiter.
  • If the payment is later refunded before payout, the commission may be voided and removed from an unpaid payout batch.
  • If an already-earned commission later becomes invalid because of a refund, dispute, chargeback, or fraud review, Diplotix may void, recover, or offset that commission according to the Partner Program.
  • If a webhook arrives late, the visible status may update after reconciliation.

8 Refunds

Refunds, chargebacks, payment disputes, invoice cancellations, payment voids, or subscription cancellations may affect commission eligibility.

If a related payment is refunded, reversed, disputed, charged back, voided, or cancelled before commission payout, Diplotix may hold, void, cancel, or remove the related commission from payout.

If commission has already been paid and a later refund, chargeback, dispute, void, fraud finding, or ineligibility event occurs, Diplotix may treat the commission as recoverable. Recovery may include future payout offset, repayment request, payout hold, account review, suspension, or another reasonable recovery process.

Subscription cancellation by itself does not automatically decide commission eligibility. The effect depends on the payment status, refund status, chargeback status, plan eligibility, attribution validity, and review outcome.

9 Fraud

Partners must not misuse the Partner Program. Prohibited conduct includes:

  • Self-referrals.
  • Multiple accounts used to create or inflate referrals.
  • Fake companies.
  • Fake recruiters.
  • Fake subscriptions.
  • Fake or misleading recruiter activity.
  • Payment manipulation.
  • Refund, dispute, or chargeback schemes.
  • Cookie stuffing.
  • Referral hijacking.
  • Spam.
  • Misleading outreach.
  • Trademark abuse.
  • Unauthorized paid search, paid traffic, or advertising using Diplotix branding.
  • Automation, bots, scripts, or artificial traffic.
  • Buying referrals.
  • Incentivized or artificial signups unless Diplotix approves the campaign in writing.
  • Misrepresenting Diplotix, pricing, plan terms, product features, commission rules, or partner status.
  • Prompt injection, platform abuse, scraping, reverse engineering, or other misuse of Diplotix systems.

If Diplotix suspects fraud or abuse, it may investigate, suspend partner access, disable referral codes, hold payouts, void commissions, cancel unpaid payout items, recover paid commissions, terminate partner access, and retain evidence needed for legal, audit, tax, payment, or fraud-prevention purposes.

10 Brand Usage

Partners may refer to Diplotix only in accurate, lawful, and non-misleading ways.

Unless Diplotix gives written approval, partners must not:

  • Use Diplotix logos, trademarks, brand assets, screenshots, or product images in a way that suggests endorsement beyond approved partner participation.
  • Register domain names, social media handles, ad accounts, keywords, or pages that use or imitate the Diplotix name or brand.
  • Represent themselves as employees, agents, legal representatives, brokers, or official spokespersons of Diplotix.
  • Make pricing, refund, hiring, salary, candidate, product, uptime, AI, or commission promises on behalf of Diplotix.
  • Run paid ads, paid search, retargeting, or trademark bidding using Diplotix marks without written approval.

Diplotix may ask a partner to remove or change marketing materials that are inaccurate, misleading, risky, outdated, or inconsistent with these Terms.

11 Payouts

Payouts are not automatic and no payout date is promised.

Before payout, Diplotix may require:

  • An active partner profile.
  • Earned commissions that remain eligible.
  • A verified payout method.
  • Accurate account holder and payout information.
  • UPI details where the current product supports UPI payouts.
  • KYC verification.
  • Tax information or invoices where required.
  • Manual payout review.
  • Fraud, refund, chargeback, and billing review.

Diplotix may set or change payout thresholds, payout schedules, review windows, payout methods, and supporting documentation requirements. If a threshold or schedule is shown in the partner portal or agreed in writing, it applies only subject to eligibility, verification, and review.

Diplotix may hold, delay, reduce, reject, or cancel a payout if:

  • KYC is pending.
  • Tax information is pending.
  • Payout-method verification is pending.
  • Bank, UPI, or payout information appears incorrect.
  • A related payment is refunded, disputed, charged back, voided, or under review.
  • There is suspected fraud, abuse, duplicate activity, or policy violation.
  • A webhook or provider record has not been reconciled.
  • Manual review is required.

A pending payout batch, pending payout item, or earned commission balance does not guarantee payment.

12 Taxes

Partners are responsible for taxes arising from their participation in the Partner Program, including income tax, GST or other indirect taxes where applicable, filings, invoices, registrations, and reporting obligations.

Diplotix may request tax documents, invoice details, declarations, or additional verification before payout. Diplotix may withhold, deduct, report, or delay payments where required by law, payment-provider rules, accounting requirements, or legal review.

13 Suspension

Diplotix may suspend partner access, referral codes, commission eligibility, or payouts if there is:

  • Fraud or suspected fraud.
  • Referral abuse.
  • Payment abuse.
  • Chargeback or dispute risk.
  • Spam or unlawful marketing.
  • Trademark or brand misuse.
  • Inaccurate partner, tax, KYC, or payout information.
  • Security risk.
  • Legal or regulatory risk.
  • Violation of these Terms or the Diplotix Terms of Service.
  • Need for investigation, reconciliation, or manual review.

During suspension, Diplotix may restrict portal access, stop referral tracking, pause commission creation, hold payouts, or require additional information.

14 Termination

You may stop participating in the Partner Program by contacting Diplotix at support@diplotix.com.

Diplotix may terminate partner access for business, legal, security, fraud, payment, operational, or policy reasons.

Termination ends future partner eligibility, referral-code use, and future commission eligibility. Unpaid commissions remain subject to eligibility review, refund and chargeback review, fraud review, KYC and tax requirements, payout-method verification, and these Terms.

Termination, deletion, or account closure does not erase historical records that Diplotix needs for audit, fraud prevention, tax, accounting, payment dispute, legal, security, or recovery purposes.

15 Independent Relationship

Partners are independent participants. A partner is not an employee, agent, joint venture partner, legal representative, franchisee, broker, or spokesperson of Diplotix.

Partners may not bind Diplotix, sign agreements for Diplotix, make promises for Diplotix, collect money for Diplotix, or represent that they have authority beyond these Terms.

16 Limitation of Liability

Diplotix is not responsible for indirect losses, lost profits, lost commissions, lost opportunities, loss of business reputation, payment-provider delays, provider outages, tracking failures, cookie deletion, browser restrictions, webhook delays, or program changes, except where liability cannot be limited under applicable law.

Diplotix's responsibility for Partner Program issues is limited to reasonable review and correction of records where Diplotix determines that an error occurred. Nothing in these Terms limits rights or liabilities that cannot legally be limited.

17 Changes to the Program

Diplotix may modify, pause, end, update, restrict, or relaunch the Partner Program.

Diplotix may change future:

  • Commission rates.
  • Eligible plans.
  • Eligible payment providers.
  • Attribution rules.
  • Payout thresholds.
  • Payout schedules.
  • Payout methods.
  • KYC, tax, and verification requirements.
  • Fraud, refund, and recovery rules.

Future commissions follow the terms, rates, and eligibility rules in effect when Diplotix determines the commission eligibility, unless Diplotix states otherwise in writing.

Previously earned commissions remain subject to these Terms, including refund, chargeback, dispute, fraud, void, recovery, tax, KYC, and payout review rules.
